PSRMA Election of Directors 2024

Petition and Nomination Information

The following positions on the Board of Directors are up for election at the end of 2024 for a two-year term starting January 1, 2025 and ending December 31, 2026:

  • President
  • Secretary
  • Director of Equipment
  • Director of Museum Services 

Any interested candidate must be an active Member in good standing, and for division directors, be associated with the corresponding division. Click Here to Download the Long Form Candidate Petition. A minimum of ten (10) signatures from Regular Members in good standing are required for a valid petition.

Additionally, any ten (10) Regular Members in good standing may nominate any other Regular Member in good standing for an open position, provided the person nominated evidences in writing a willingness to serve if elected.

Election Information

For those positions where more than one candidate submits a valid petition form, an election will be held.

Ballots will be available online and mailed to all active members by Friday, October 4, 2024.

Completed ballots must be returned no later than Friday, November 8, 2024:

Responsibilities of Officers

President: shall, subject to the control of the Board, be the general manager and chief executive officer of the corporation and shall supervise, direct, and control the business, affairs and officers of the corporation. The President shall preside at all Board meetings. The President has the general powers and duties of management usually vested in the office of President, general manager and chief executive officer of a corporation and such other powers and duties as the Board or the Bylaws may prescribe.

Vice President: shall, in the absence or disability of the President, perform all the duties of the president and, when so acting, shall have all the powers of, and be subject to all the restrictions upon the President.  The Vice President shall have such other powers and perform such other duties as from time to time may be prescribed by the Board.

Secretary: shall keep or cause to be kept, at the corporation’s principal office or such other place as the Board may direct, a Book of Minutes of all meetings, proceedings, and actions of the Board and of committees of the Board. The secretary shall keep or have kept at the principal office in California, a copy of the Articles of Incorporation and Bylaws, as amended to date. The Secretary shall give, or cause to be given, notice of all meetings of the Board, and of committees of the Board required by the Bylaws to be given. The Secretary shall keep the corporate seal in safe custody, and shall have such other powers and perform such other duties as the Board may prescribe.

Treasurer: shall keep and maintain, or cause to be kept and maintained, adequate and correct books and records of accounts of the corporation’s properties and business transactions, including accounts of its assets, liabilities, receipts, disbursements, gains, losses, capital, retained earnings, and other matters customarily included in financial statements.  The books of account shall be open to inspection by any director at all reasonable times.  The Treasurer shall deposit, or cause to be deposited, all money and other valuables in the name and to the credit of the corporation with such depositories as the Board may designate, shall disburse the corporation’s funds as the Board may order, shall render to the President and Directors, when requested, an account of all transactions as Treasurer and of the financial condition of the corporation, and shall have such other powers and perform such other duties as the Board may prescribe.  If required by the Board, the Treasurer shall give the corporation a bond in the amount and with the surety or sureties specified by the Board for faithful performance of the duties of his/her office and for restoration to the corporation of all its books, papers, vouchers, money, and other property of every kind in his/her possession or under his/her control on his/her death, resignation, retirement, or removal from office.  At the request or with the approval of the Board, the Treasurer shall commission an annual independent review of the corporation’s books of account and financial performance, to be conducted by a certified public account. Such review may, but need not, be a full audit.


Responsibilities of Directors

Each Division, in cooperation with the Board, shall be managed by a director specifically elected to the position who shall establish procedures, policies, rules and regulations necessary for the safe and efficient operation of the division, and all property and equipment under its jurisdiction.

Equipment Division Director is currently deemed responsible for the maintenance and repair of all rail mounted and rubber tired vehicles belonging to the Association and works directly with the Operations Division Director to ensure sufficient rail equipment is available for Operations Department activities.

Operations Division Director is currently deemed responsible for managing the safe and efficient operation of rail-related activities at the Museum.  This includes maintaining records to satisfy all Federal Railroad Administration requirements and inspections.

Museum Services Division Director is currently deemed responsible for public outreach, museum promotion and interpretation. Our Southwest Library and museum membership are two primary areas under this department’s jurisdiction.

Facilities Division Director is currently deemed responsible for the maintenance, repair, and inspection of all structures, roadways, and other facilities owned by the Association.
